Welcome to Hiitch and thank you for visitng our website www.hiitch.com. Please read the following Terms of Use carefully before using this Site or downloading any of our products, so that you are aware of your legal rights and obligations with respect to Quadedge Pte Ltd.

By using the Site or downloading of our software, you signify your irrevocable acceptance of these Terms of Use. You also agree to ensure that anyone who uses this software on your computer also abides by the Terms of Use. Hiitch has the right to revise the Terms of Use at any time without providing notice to its users. Your continued use of the Site shall be deemed irrevocable acceptance of those revisions.

We reserve the right to change, modify, suspend or discontinue any portion of the Site at any time. We may also impose limits on certain features or restrict your access to parts or the entire Site without notice or liability.

All content and compilation of content included on Hiitch's website and software, such as text, graphics, logos, button icons, images, audio clips, digital downloads and software, is the property of Quadedge Pte Ltd and is protected by state, national and international law pertaining to copyrights, trademarks, trade secrets and other proprietary rights.

Quadedge Pte Ltd is registered in Singapore and Hiitch and Hiitch logo are trademarks of Quadedge Pte Ltd. Hiitch's trademarks may not be used in connection with any product or service that is not Hiitch's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Hiitch. Other trademarks, product names, company names and logos appearing on this website or Hiitch software are the property of their respective owners. You must obtain permission from those owners before copying or using their trademarks, product names, company names or logos.

You must be legally 18 years of age or older to register as a Member. If you are under the age of 18, you are not allowed to register and become a Member of Hiitch or access our network. By registering as a Member, you represent and warrant that you are legally 18 years of age or older. Hiitch reserves the right, in its sole discretion, to terminate your membership effective immediately for any reason, with or without notice. You may also terminate your membership at any time for any reason by giving Hiitch written notice of such intent.

Hiitch software and accompanying documentation that are made available by download from this Site or on CD-ROM format are the copyrighted work of Quadedge Pte Ltd. Use of the Software is governed by the terms of the end user license agreement that accompanies or is included with such Software and is also referenced on this website. You will not be able to download or install any software that is accompanied by or includes an end user license agreement unless you agree to the terms of such end user license agreement. If you do not agree to such terms, you will not be able to use the Software. You may not decompile, reverse engineer or otherwise attempt to discover the source code of the Software available on the Site.

You may not:

• use our software and services and any Hiitch contact directories, to make unsolicited offers or proposals or to send junk mail to users of our services or our software;
• harass, defame or defraud users of our services or our software;
• with the operation of our services, any software that utilizes them, or any user's enjoyment of them, by any means, including uploading or otherwise disseminating viruses, worms or other harmful code;
• disable, circumvent, avoid, bypass, remove, deactivate, impair or otherwise interfere with security-related features of our services or software, features that enforce restrictions or limitations on use of our services or software, or features that prevent or restrict use or copying of any content or other material accessible through use of our services or software;
• use our services to upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws (including, by way of example and not limitation, copyright or trademark laws) or by rights of privacy or publicity, unless you own or control the rights or have received all necessary consent to do so;
• use our services to upload any material that is violent, threatening, abusive, sexually explicit, obscene, offensive, hateful, derogatory, defamatory, libelous or racially, ethnically or otherwise objectionable;
• use our services to download any file posted by another user that you know, or reasonably should know, cannot be legally reproduced, displayed, performed and/or distributed in this manner;
• access or use our services in violation of any local, state, national or international law, including, without limitation, laws governing the provision of financial services, data protection and privacy, and export or import control;
• otherwise access or use our website in violation of its Terms and Conditions or use our software or our services in violation of any applicable license or service agreement.

You are solely responsible for the content that you publish or display or transmit to other Members (collectively the "Member Content"). You agree that Quadedge Pte Ltd may review and delete or remove any Member Content that in its sole judgment violates this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Members or others. Hiitch assumes no responsibility for the Member Content, no obligation to modify or remove any inappropriate Member Content, and no responsibility for the conduct of the Member submitting any such Member Content. By posting Member Content in Hiitch community, you automatically grant, and you represent and warrant that you have the right to grant, to Hiitch an irrevocable, perpetual, non-exclusive, transferable, fully paid-up, worldwide license (with the right to sublicense) to use, copy, perform, display, reformat, translate, excerpt (in whole or in part) and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. This license will terminate at the time you remove such Member Content from our network.

Many portions of this website are available for public viewing and use.

Hiitch grants you permission to do the following:

• 1. view and use for intended purposes those portions of this website to which we have granted you access;
• 2. obtain our products and sign up for our services, subject to payment of all applicable charges and agreement to the terms and conditions of any license agreement or other agreement associated with those products and services;
• 3. use the discussion forums, contact lists and e-mail links to which you have been granted access to interact with Hiitch and other users of our products and services. Any other use of this website or its contents is prohibited without first obtaining written permission from Hiitch;

Hiitch may contain links to other Web Sites. Hiitch is not responsible for the content, accuracy or opinions express in such Web Sites, and such Web Sites are not investigated, monitored or checked for accuracy or completeness by Hiitch. Inclusion of any linked Web Site on or through the Web Site does not imply approval or endorsement of the linked Web Site by Hiitch. If you decide to leave the Web Site and access these third-party sites, you do so at your own risk.

Certain parts of the Site may ask for written suggestions or problem reports such as using our contact form or problem report form ("Submissions"). In such a case, please read carefully the specific terms, which govern those Submissions ("Additional Terms"). In the absence of Additional Terms, the Hiitch Terms of Use shall govern your legal rights with respect to those Submissions.

The Submissions shall be deemed the property of Hiitch. Hiitch shall exclusively own all now known or hereafter existing rights to the Submissions throughout the universe in perpetuity and shall be entitled to use the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions. In any event, any Submissions you send to Hiitch will not be treated as confidential and Hiitch shall not be liable for any disclosure of the Submissions.

Hiitch does not warrant that the functions contained in the service provided by the Site will be uninterrupted or error-free, that defects will be corrected or that this service or the server that makes it available will be free of viruses or other harmful components.

As part of the registration process, each Patron will select a password ("Password") and Login Name ("Login Name"). You shall provide Hiitch with accurate, complete, and updated Account information. Failure to do so shall constitute a breach of this Terms of Use, which may result in immediate termination of your Account.

You may not:

• 1. select or use a Login Name of another person with the intent to impersonate that person;
• 2. use a name subject to the rights of any other person without authorization;
• 3. use a Login Name that Hiitch, in its sole discretion, deems inappropriate or offensive.

You shall notify Hiitch of any known or suspected unauthorized use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password. You shall be responsible for maintaining the confidentiality of your password.

Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your Account, at Hiitch's sole discretion, and you may be reported to appropriate law-enforcement agencies.

If you believe your work has been copied in a way that constitutes copyright infringement or are aware of any infringing material in our Hiitch Software, please provide us with the following information:

• 1. description of the copyrighted work that you claim has been infringed;
• 2. a description of where the material that you claim is infringing is located in our Hiitch Software;
• 3. your address, telephone number, and email address;
• 4. a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• 5. a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and
• 6. an electronic or physical signature of a person authorized to act on behalf of the copyright holder or owner of an exclusive right that is allegedly infringed.

Upon receipt of a Notification of Copyright Infringement from a copyright owner, Hiitch will notify the Member of the alleged infringement. (No personal, Member information is shared with the copyright owner unless required by law.) If Hiitch receives more than one Notice of Claimed Copyright Infringement regarding a Member's posted content, the Member may be deemed a "repeat copyright infringer." Hiitch reserves the right to terminate the accounts of "repeat copyright infringers".

This Site and Hiitch Software is controlled and operated by Quadedge Pte Ltd. Hiitch makes no representation that materials in the Site or Software are appropriate or available for use in your location. Those who choose to access this Site or our Software from any location do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

You agree to indemnify and hold Hiitch, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post to or transmit through the Site or our Software, your use of the Site or our Software, your connection to the Site or our Software, your violation of the Terms of Use, or your violation of any rights of another person or entity.

By accessing this Site or our Software, you and Hiitch agree that all matters relating to your access to, or use of, this Site or Hiitch Software shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law.

Hiitch has the right, in its sole discretion, to remove or restrict access to any material uploaded by a Member which it views as violating the terms of this Agreement or inconsistent with the policy of Hiitch. Notwithstanding such right, Hiitch is not liable for any material uploaded by a Member, including but not limited to the accuracy of the material or the conduct of a Member either within the Web Site or our Software. The Web Site is provided "AS IS," and Hiitch does not guarantee the functionality of the Web Site or a particular result from the use of the Web Site or our Software. You acknowledge and agree that Hiitch is not liable for any interruption or breakdown of service, loss or corruption of data, attacks against the Web Site or our Software from third parties, any technical malfunction at any point in the provision of the service of the Web Site or our Software. Hiitch expressly disclaims any responsibility for loss or damage, including personal injury or death, resulting from the use of the Web Site or Hiitch Software from any content posted on the Web Site or Hiitch Software or any interactions among Members, whether online or offline. HIITCH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

HIITCH SHALL NOT BE HELD LIABLE TO YOU OR ANY THIRD PARTY FOR LOSS OF PROFIT, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, TECHNOLOGIES OR SERVICES, COST OF COVER OR PUNITIVE, EXEMPLARY, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE USE OF THE WEB SITE OR HIITCH SOFTWARE OR THIS AGREEMENT. NOTWITHSTANDING ANY PROVISION IN THIS AGREEMENT TO THE CONTRARY, HIITCH'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THAT AMOUNT PAID, IF ANY, BY YOU TO HIITCH FOR THE SERVICES OF THE WEB SITE AND HIITCH SOFTWARE DURING THE TERM OF MEMBERSHIP.

This Agreement together with the Hiitch user end license agreement contains the entire agreement between Hiitch and you concerning the subject matter hereof. The failure of Hiitch to exercise or enforce any right under this Agreement shall not be deemed to be a waiver of that right nor operate to bar the exercise or enforcement of it at any time or times thereafter. In the event that any provision of this Agreement is found invalid, the remainder of the Agreement shall remain valid and enforceable according to its terms.
